General partnership

General partnership is a private Company which runs business activity under own name, but it is not a trading company. The articles of association should be made in writing. There is no minimal start-up capital. The name of the general partnership should consist of names of partners or their companies or name or company of one partner and additional caption “spolka jawna” (“general partnership”). In a day-to-day activity it is possible to use abbreviation “sp.j.” The general partnership should be registered in National Court Register. Each partner is a responsible for partnership’s liabilities with his own private property together with other partners and with partnership itself. The liability of the partners is subsidiary, which means that creditors may carry out enforcement from partner’s private property in case when the enforcement from partnership’s assets is not possible. The partner which joins the partnership assumes the responsibility for the obligations made before his association. Each partner has right to represent the partnership. It refers to all court proceedings and other formal proceedings.
